TERMS OF SERVICE AND USER POLICY
Effective Date: Date of Order
By submitting payment, clicking “Pay,” “Accept,” or authorizing services in any manner, you (“Client” or
“Customer”) agree to be legally bound by these Terms of Service and User Policy (“Agreement”) with Hiro
Services Inc. (“Hiro,” “we,” “our”). This Agreement governs Client’s use of Hiro’s AI-powered security,
surveillance, and analytics solutions.
1. Services Provided
Hiro provides AI-based security and surveillance analytics, including but not limited to threat detection,
shoplifting detection, behavioral analysis, mood recognition, violence detection, facial recognition, and related
operational intelligence (“Services”).
Service details, scope, and pricing are defined in the applicable invoice, order form, or payment link. Service
results are not guaranteed. System accuracy and performance may vary based on camera quality, placement,
lighting, power stability, network reliability, environmental conditions, and Client compliance.
Hiro’s Services are decision-support tools only and do not replace human judgment, security personnel, or
emergency response systems.
2. Payment Terms
Payment is required prior to activation unless otherwise approved in writing or financed through an authorized
partner. All payments are non-refundable once installation, provisioning, or system configuration has begun.
3. Hardware Ownership
Any hardware financed through third-party financing partners remains the property of such partners until paid
in full. Hiro retains all intellectual property, software rights, configurations, and system logic at all times.
4. Client Responsibilities
Client is solely responsible for:

Providing uninterrupted camera access and stable internet connectivity

Maintaining stable power supply and proper environmental conditions
-
Ensuring physical security of all Hiro-provided hardware
-
Complying with all applicable local, state, and federal surveillance, privacy, labor, and data laws
-
Preventing any unauthorized access, handling, relocation, modification, inspection, or interference
with Hiro-provided hardware
Any failure to secure, protect, or properly maintain the hardware constitutes a material breach of this
Agreement.
5. Hardware Tampering, Damage, or Interference
Any damage to, tampering with, interference involving, or unauthorized access to Hiro-provided
servers or hardware—whether intentional, negligent, accidental, or caused by Client personnel,
contractors, vendors, MSPs, or third parties—shall immediately and automatically:
1. Void this Agreement in its entirety
2. Terminate all Services without refund
3. Release Hiro from all present and future obligations
4. Void all warranties, service commitments, SLAs, or performance representations
Tampering includes, without limitation:

Power cycling, unplugging, or altering power sources

Disconnecting, replacing, or modifying network cables
-
Opening server chassis, racks, or enclosures
-
Relocating hardware without written authorization
-
Exposure to environmental conditions outside recommended specifications
-
Any physical or digital action that compromises system integrity
Hiro shall have no liability whatsoever for any downtime, data loss, security incidents, or business impact
resulting from such events.
5.1 Liquidated Damages for Tampering or Damage
Client acknowledges that tampering or damage causes substantial and irreparable harm to Hiro, the amount of
which would be difficult to precisely calculate. Accordingly, Client agrees to liquidated damages (not a
penalty) in the amount of:

$25,000 USD per affected server, or
-
The full remaining contract value, whichever is greater
Liquidated damages are immediately due upon written notice and are in addition to:

Outstanding balances
-
Repair, replacement, or forensic costs
-
Third-party or financing partner obligations
These damages are cumulative and do not limit Hiro’s right to injunctive relief or additional remedies
available under law or equity.
5.2 Inspection, Audit, and Access Rights
Client grants Hiro the unrestricted right to inspect, audit, and verify the condition of all Hiro-provided
hardware and related infrastructure, including:

Remote or on-site inspections

Inspections with or without prior notice where tampering or compromise is suspected
Client shall provide immediate access to server locations, racks, power sources, network connections, and
environmental conditions. Any refusal, delay, or obstruction constitutes a material breach triggering
termination and liquidated damages.
Inspection rights survive termination for investigative and evidentiary purposes.
5.3 Criminal Referral and Intentional Sabotage
If Hiro reasonably determines that tampering or damage was intentional, malicious, reckless, or designed to
disable, evade, or manipulate the system, Hiro may, without prior notice:

Refer the matter to local, state, or federal law enforcement

Provide logs, forensic evidence, system data, and technical findings
-
Cooperate fully with criminal investigations or prosecutions
Client acknowledges that intentional interference with security or surveillance systems may constitute criminal
offenses, including sabotage, unauthorized computer access, destruction of infrastructure, or interference with
safety systems.
Civil remedies and criminal referrals are not mutually exclusive.
6. Support & Maintenance
Hiro provides remote diagnostics, updates, and standard support only while hardware remains
uncompromised and untampered.
7. Limitation of Liability
7.1 No Indirect or Special Damages
To the fullest extent permitted by law, Hiro shall not be liable for any indirect, incidental, consequential,
punitive, special, or enhanced damages, including but not limited to:

Lost profits, revenue, or business opportunities
-
Data loss or corruption originating from Client systems
-
Business interruption or downtime
-
Reputational harm
-
Security incidents or missed detections
-
Actions or failures by Client personnel or third parties
These exclusions apply regardless of foreseeability or notice.
7.2 Strict Monetary Cap
Hiro’s total cumulative liability for all claims shall not exceed the lesser of:

30% of total fees actually paid to Hiro, or
-
$2,000 USD,
in the aggregate.
7.3 Fundamental Allocation of Risk
Client acknowledges that these limitations are a material basis of the Agreement and that Hiro would not
provide services at commercially reasonable rates without them.
7.4 No Liability for Third Parties
Hiro is not responsible for failures caused by:

Internet or network providers
-
Camera or NVR manufacturers
-
MSPs, installers, or technicians
-
Financing partners
-
Power instability or environmental conditions
-
Client’s failure to follow Hiro instructions
7.5 Exclusions (For Enforceability Only)
The above limitations do not apply to:

Fraud or intentional misconduct by Hiro
-
Client indemnification obligations
-
Client unpaid balances
No other exceptions apply.
8. Data Privacy
Hiro does not store or sell video footage. Only metadata and AI model outputs are used for system
performance, diagnostics, and analytics.
9. Governing Law
This Agreement is governed by and construed under the laws of the State of Florida, without regard to
conflict-of-law principles.
ACKNOWLEDGMENT AND ACCEPTANCE
BY SUBMITTING PAYMENT, CLIENT EXPRESSLY ACKNOWLEDGES AND AGREES THAT:
1. Client has read and understands this Agreement in full
2. Hiro hardware constitutes critical security infrastructure
3. Any damage or tampering automatically voids this Agreement
4. Liquidated damages become immediately due
5. Hiro may inspect hardware at any time
6. Intentional sabotage may result in criminal referral
7. Risk allocation is knowing, voluntary, and binding
8. The individual authorizing payment has full authority to bind Client
Acceptance
By submitting payment or authorizing services, Client agrees to be legally bound by this Agreement.
