TERMS OF SERVICE AND USER POLICY

Effective Date: Date of Order

By submitting payment, signing a financing agreement, or accepting delivery of Hiro products and services, you (“Client” or “Customer”) agree to these Terms of Service and User Policy (“Agreement”) with Hiro Services Inc. (“Hiro,” “we,” “our,” or “us”). This Agreement governs the installation, access, and use of Hiro’s AI-powered surveillance hardware, software, and related services.

1. Services Provided

Hiro provides AI-powered security and surveillance solutions (“Services”), including:

  • Threat, violence, and weapon detection

  • Shoplifting and theft monitoring

  • Behavior, emotion, and mood analysis

  • Facial and vehicle recognition

  • Queue management, people counting, and analytics

  • Dashboard access, reports, and ongoing AI model updates

Service scope, camera counts, and deliverables are detailed in the applicable invoice, financing agreement, or statement of work.

Accuracy Disclaimer:
AI performance and analytic accuracy depend on camera quality, angle, lighting, network stability, and environmental conditions. Hiro’s Services assist human decision-making and do not replace licensed security personnel or law enforcement.

2. Payment, Financing, and Cancellation Policy

a. Standard Payment Terms

Unless financed, full payment for hardware, setup, and subscription fees is due prior to activation.

b. Financing Through Ascentium Capital

Customers approved for financing through Ascentium Capital LLC (“Ascentium”) are subject to Ascentium’s credit approval, payment terms, and financing contract. Once financing is approved, Ascentium will pay Hiro directly on your behalf.

  • The Client’s contractual payment obligation transfers to Ascentium.

  • Any monthly, quarterly, or annual payments will be made to Ascentium, not Hiro.

  • Cancellation, delinquency, or payment disputes must be addressed directly with Ascentium per their terms.

  • Hiro will not issue refunds once financing has been executed and the system is shipped or installed.

c. Refunds and Cancellations

If paid directly (non-financed):

  • Clients may request cancellation prior to installation; refund processing takes up to 30 business days.

  • Once installation or setup begins, the purchase becomes non-refundable.

  • For financed clients, cancellations must be handled in accordance with Ascentium’s financing agreement.

d. Early Termination

If the Client terminates prior to the end of any service term (other than due to Hiro’s material breach):

Client shall pay:

  • All fees accrued up to termination date; and

  • An early termination fee equal to 50% of the remaining contract value for that term.

All setup fees and installation charges are non-refundable.

3. Hardware Ownership and Lease Terms

All hardware (servers, AI boxes, GPUs, cameras, etc.) purchased through Ascentium remains property of Ascentium Capital LLC until the financing term is fully paid.
If paid directly to Hiro, ownership transfers to Client after full payment and delivery confirmation.

Clients are responsible for:

  • Maintaining hardware in good working condition;

  • Not relocating or altering Hiro-installed systems without written consent; and

  • Returning leased hardware in accordance with Ascentium’s or Hiro’s end-of-term provisions.

4. Client Responsibilities

Clients agree to:

  • Provide site access and network credentials (camera RTSP links, IPs, VLAN access, etc.) as needed;

  • Maintain stable power and internet connection for system functionality;

  • Ensure compliance with all privacy, surveillance, and recording laws;

  • Avoid misuse or deployment of the system in prohibited areas (e.g., private restrooms, sensitive facilities).

Clients remain solely responsible for interpreting alerts, taking response actions, and ensuring appropriate human oversight.

5. Support, Maintenance, and Service Availability

Hiro provides:

  • Remote diagnostics, model updates, and performance monitoring

  • Limited phone and email support during business hours

  • Optional 24/7 BPO support through authorized partners (additional cost)

Temporary downtime may occur for maintenance, upgrades, or external network interruptions. Hiro is not liable for interruptions caused by customer infrastructure or ISP.

6. Limitation of Liability

To the fullest extent permitted by law, Hiro shall not be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption.

Hiro’s total cumulative liability shall not exceed the amount paid by Client to Hiro during the three (3) months preceding the event giving rise to the claim.

7. Indemnification

Client agrees to indemnify, defend, and hold harmless Hiro, its officers, employees, agents, and affiliates from any claims, damages, or losses arising from:

  • Misuse or unauthorized access of the Services;

  • Violation of privacy or surveillance laws; or

  • Breach of this Agreement.

8. Data Privacy and Security

Hiro collects limited metadata (e.g., timestamps, model outputs, system logs) necessary for system performance.
Hiro does not store or transmit raw video footage unless explicitly agreed for analysis, support, or training purposes.

All customer data is:

  • Processed securely and encrypted in transit;

  • Never sold or monetized; and

  • Only shared with authorized service partners (MSP, Ascentium, or law enforcement when required by law).

9. Term, Renewal, and Transfer

  • This Agreement begins upon payment or financing execution and continues for the stated contract term.

  • Renewal terms will auto-renew unless either party provides written notice 30 days prior to expiration.

  • Clients may not transfer, assign, or sublease the Service without Hiro’s prior written approval.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively through binding arbitration in Miami, Florida, under the rules of the American Arbitration Association (AAA).
Judgment on the arbitration award may be entered in any court having jurisdiction.

11. Entire Agreement

This document, along with any accompanying invoice, financing agreement, or statement of work, constitutes the entire understanding between Client and Hiro.
Any amendments must be made in writing and signed by both parties.

12. Acceptance of Terms

By submitting payment, signing a financing contract, or accepting delivery of Hiro equipment, you acknowledge that you have read, understood, and agreed to these Terms of Service and User Policy.
